("Sift AI," "we," "us," or "our"), including the website withsift.ai and related applications at app.withsift.ai and admin.withsift.ai (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

Sift AI provides an AI-powered financial intelligence platform for auto dealer captive reinsurance. Our Services include document analysis, fee benchmarking, and audit reporting tools designed for automobile dealerships and their financial teams.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • You must be at least 18 years old to use our Services.

You retain ownership of all documents and data you upload to the Services ("Your Content"). By uploading Your Content, you grant Sift AI a limited, non-exclusive license to process, analyze, and store Your Content solely for the purpose of providing the Services to you. We will not share Your Content with other customers or use it for purposes unrelated to your account without your consent.

6. Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, and other content created by Sift AI, are owned by Sift AI and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

7. Fees and Payment

Certain features of the Services may require payment. Fees, billing cycles, and payment terms will be communicated to you separately and are governed by the applicable service agreement. All fees are non-refundable unless otherwise stated in writing.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SIFT AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

The analysis and reports generated by our Services are for informational purposes only and do not constitute financial, legal, or professional advice. You should consult qualified professionals before making business decisions based on our analysis.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIFT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES. IN NO EVENT SHALL SIFT AI'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO SIFT AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sift AI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. You may request a copy of Your Content before termination by contacting us.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
